HID Media Affiliate / Publisher Agreement

Please read these Terms & Conditions carefully before joining or promoting any HID Media campaign, offer, advertiser campaign, affiliate program, or performance marketing activity.

This Affiliate / Publisher Program Agreement (“Agreement”) is entered into by and between HID Media (“HID Media,” “Company,” “we,” “our,” or “us”) and the individual or business entity applying to participate as an affiliate, publisher, media partner, or traffic partner (“Affiliate,” “Publisher,” “you,” or “your”).

By applying to, joining, accessing, promoting, or participating in any HID Media campaign, offer, advertiser campaign, affiliate program, or performance marketing activity, you agree to be bound by this Agreement.

Important: HID Media pays Affiliate only after HID Media receives payment from the advertiser, client, network, or campaign owner.

1. Enrollment and Approval

Affiliate must provide accurate, complete, and truthful information during registration and onboarding. HID Media may approve or reject any Affiliate application at its sole discretion.

HID Media may suspend, reject, or terminate any Affiliate account at any time if HID Media believes the Affiliate has provided false information, used suspicious traffic, violated advertiser requirements, or acted against the interests of HID Media or its advertisers.

2. Offers and Campaigns

HID Media may provide Affiliate with access to campaigns, offers, tracking links, creatives, landing pages, instructions, payout terms, and other campaign materials.

Affiliate agrees to follow all campaign rules, advertiser instructions, traffic restrictions, geo-targeting requirements, platform policies, and any additional terms provided by HID Media.

Affiliate may only promote campaigns using approved methods. Any unapproved traffic source, misleading promotion, fake lead generation, bot activity, unauthorized creative, or violation of campaign rules may result in non-payment, account suspension, chargeback, penalty, or termination.

3. Qualified Actions

HID Media will only pay Affiliate for valid and approved actions, leads, clicks, sales, installs, calls, signups, or conversions that are accepted by the advertiser and verified by HID Media.

A “Qualified Action” means an action that:

Is generated by a real human user.

Is not generated by bots, fake accounts, automation, proxies, VPN abuse, scripts, or fraudulent methods.

Meets all advertiser campaign requirements.

Is not duplicate, fake, incomplete, misleading, incentivized without approval, or later rejected by the advertiser.

Is tracked correctly through HID Media’s approved tracking system.

Is approved and paid by the advertiser.

HID Media’s tracking records, advertiser reports, and validation data shall be considered final for determining payable conversions.

4. Payment Terms

Affiliate understands and agrees that HID Media is a performance marketing intermediary and does not guarantee payment from its own funds.

HID Media shall only pay Affiliate after HID Media receives payment from the relevant advertiser, client, network, or campaign owner.

If the advertiser does not pay HID Media, delays payment, rejects traffic, disputes conversions, reverses commissions, applies deductions, freezes funds, or issues chargebacks, HID Media shall not be responsible for paying Affiliate from its own pocket.

Affiliate fully releases HID Media from any payment claim where HID Media has not received the corresponding funds from the advertiser.

5. No Payment for Wrong, Fraudulent, or Invalid Work

HID Media will not pay for any work, traffic, leads, conversions, or actions that HID Media or the advertiser considers wrong, fake, fraudulent, invalid, low quality, misleading, non-compliant, or harmful.

Wrong work includes but is not limited to:

Fake leads or fake conversions.

Bot traffic or automated traffic.

Proxy, VPN, data-center, or suspicious IP traffic.

Duplicate submissions.

Incentivized traffic without written approval.

Misleading ads, fake claims, or false promises.

Brand bidding without approval.

Spam, unsolicited messages, or illegal email marketing.

Fake user accounts or spoofed information.

Using unauthorized creatives, landing pages, or scripts.

Violating platform, advertiser, legal, or campaign rules.

Any activity that damages HID Media, its advertiser accounts, clients, platforms, or business relationships.

If HID Media determines that Affiliate has engaged in wrong work, HID Media may withhold unpaid commissions, reverse approved conversions, demand repayment of already paid amounts, suspend Affiliate access, terminate the relationship, and apply penalties.

6. Advertiser Account Damage and Affiliate Liability

Affiliate agrees that any wrong, fraudulent, suspicious, or non-compliant activity may damage HID Media’s advertiser accounts, client relationships, campaign access, reputation, payment accounts, and business operations.

If HID Media’s advertiser account, platform account, payment account, tracking account, client account, or campaign access is restricted, suspended, penalized, terminated, reviewed, or negatively affected due to Affiliate’s actions, traffic, sub-affiliates, sources, or misconduct, then:

HID Media shall not be required to pay Affiliate any pending or future amount related to that campaign or account.

HID Media may hold, freeze, cancel, or reverse all unpaid commissions.

Affiliate shall be responsible for damages, losses, chargebacks, penalties, legal costs, account recovery costs, and business losses caused to HID Media.

HID Media may apply an additional penalty against Affiliate.

7. Affiliate Penalty

Affiliate agrees that if Affiliate violates this Agreement, sends wrong traffic, causes advertiser complaints, damages HID Media’s advertiser account, uses fraud, or breaks campaign rules, HID Media may apply a penalty.

The penalty amount may range from USD $2,000 to USD $10,000, depending on the seriousness of the violation, damage caused, advertiser complaint, account impact, chargeback amount, and HID Media’s internal review.

Affiliate agrees that HID Media has the right to determine the penalty amount based on the nature and impact of the violation. HID Media may deduct the penalty from any unpaid commission, future payout, or any amount owed to Affiliate. If the unpaid balance is not enough, Affiliate agrees to pay the remaining penalty amount to HID Media.

8. Chargebacks and Reversals

If any advertiser later rejects, reverses, disputes, or charges back any conversion, HID Media may deduct the same amount from Affiliate’s unpaid or future earnings.

If Affiliate has already received payment for rejected or fraudulent conversions, Affiliate agrees to repay HID Media within seven days of written notice.

HID Media may also offset any amounts owed by Affiliate against current or future payments.

9. Confidentiality and Client Protection

Affiliate agrees that all HID Media information is confidential, including but not limited to:

Advertiser names.

Client identities.

Campaign owners.

Payout rates.

Tracking links.

Offer details.

Landing pages.

Business contacts.

Traffic rules.

Internal communication.

Payment terms.

Strategy, data, reports, and performance information.

HID Media will never reveal its clients to Affiliate unless HID Media chooses to do so in writing.

Affiliate has no right to demand the name, contact details, direct access, or identity of HID Media’s advertisers or clients.

Affiliate agrees not to contact, approach, bypass, solicit, pitch, message, email, call, work directly with, or attempt to take business from any HID Media advertiser, client, network, or business contact.

If Affiliate discovers or identifies any HID Media client or advertiser, Affiliate must keep that information strictly confidential and must not contact them directly or indirectly.

Any violation of this section may result in immediate termination, forfeiture of commissions, legal action, and damages.

10. Non-Circumvention

Affiliate shall not bypass HID Media to work directly with any advertiser, client, network, offer owner, or business partner introduced through HID Media.

This restriction applies during the business relationship and continues after termination.

If Affiliate violates this clause, HID Media may seek damages, penalties, lost profits, legal costs, and any other remedies available under applicable law.

11. Affiliate Responsibilities

Affiliate is fully responsible for its own websites, traffic sources, ads, landing pages, sub-affiliates, employees, contractors, platforms, creatives, and promotional methods.

Affiliate must ensure that all promotional activities are legal, compliant, accurate, and approved.

Affiliate must not use any content or traffic method that is illegal, harmful, misleading, abusive, offensive, adult, violent, discriminatory, defamatory, infringing, spammy, or otherwise harmful to HID Media or its advertisers.

12. Sub-Affiliates and Third Parties

If Affiliate uses sub-affiliates, media buyers, agencies, traffic partners, contractors, or third parties, Affiliate remains fully responsible for their actions.

Any violation by a sub-affiliate or third party shall be treated as a violation by Affiliate.

HID Media may request details of any traffic source, sub-affiliate, or third-party partner. Failure to provide accurate information may result in non-payment and termination.

13. Fraud and Compliance Review

HID Media may review, audit, approve, reject, or investigate any traffic, lead, conversion, source, or Affiliate account at any time.

HID Media may hold payments during investigation. HID Media is not required to make payment while fraud, invalid traffic, advertiser dispute, compliance issue, or account review is pending.

Affiliate must provide proof of traffic source, ad placements, screenshots, reports, platform access, or other verification documents if requested by HID Media.

Failure to provide satisfactory proof may result in non-payment.

14. Termination

HID Media may terminate this Agreement, suspend Affiliate access, remove campaign access, disable tracking links, or stop working with Affiliate at any time.

Upon termination, Affiliate must immediately stop using all HID Media links, creatives, campaign materials, advertiser information, and confidential data.

Termination does not remove Affiliate’s responsibility for fraud, chargebacks, penalties, confidentiality, non-circumvention, repayment, or damages.

15. Limitation of Liability

HID Media shall not be liable for lost profits, business losses, indirect damages, platform issues, advertiser delays, tracking errors, rejected conversions, account suspensions, payment delays, or any issue outside HID Media’s reasonable control.

HID Media’s total liability to Affiliate shall never exceed the verified and advertiser-paid commissions owed to Affiliate for valid Qualified Actions.

16. Indemnification

Affiliate agrees to defend, indemnify, and hold harmless HID Media, its owners, employees, clients, advertisers, partners, and representatives from any claims, damages, losses, costs, penalties, legal fees, advertiser disputes, platform actions, or third-party claims arising from Affiliate’s traffic, actions, violations, fraud, negligence, or breach of this Agreement.

17. Governing Law and Disputes

This Agreement shall be governed by the laws of [Insert Country / State / Jurisdiction].

Any dispute shall first be handled through good-faith negotiation. If not resolved, the dispute shall be handled in the courts or arbitration forum located in [Insert Jurisdiction], unless HID Media chooses another legally available remedy.

18. Final Agreement

By joining HID Media as an Affiliate or Publisher, Affiliate confirms that they have read, understood, and accepted this Agreement.

Affiliate further confirms that they understand:

HID Media does not pay from its own pocket.

HID Media pays only after advertiser payment is received.

Wrong or fraudulent work will not be paid.

HID Media may apply penalties from USD $2,000 to USD $10,000.

HID Media will not reveal its clients or advertisers.

Affiliate must not bypass or contact HID Media’s clients directly.

Affiliate is responsible for its own traffic and sub-affiliates.
